The website www.haypp.sa (the "Website") is operated by Haypp Company KSA LLC, CR 7054403493 ("Haypp", "we", "us", or "our"). At the Website you may, subject to a successful age verification, purchase the products made available from time to time. These Terms and Conditions of Purchase and Sale (the "Terms") govern every purchase made by a buyer (referred to in these Terms as the "Customer" or "Buyer") through the Website and apply to each contract entered into with Haypp.

Prior to accessing, browsing, or registering on our Website and/or our platforms, it is imperative to carefully read these Terms of Use and our Privacy Policy.

By using our Website and/or platforms, or submitting an order, you confirm that you have read, understood, and agree to be bound by these Terms in full. If you do not accept these Terms, you are prohibited from accessing, browsing, registering, or using our Website and/or our platforms and you must not place an order.

These Terms should be read alongside our Privacy Policy which is published separately on the Website. We may update these Terms from time to time.

Our products are for personal use only by individuals aged 18 or older, and by using our Website or purchasing our products, you confirm that you meet this requirement and will not resell or distribute them.

1. Orders and Purchase Agreement

How to Place an Order

To place an order on the Website you must:

• browse the products listed on the Website and add the products you wish to purchase to your shopping basket;
• proceed to checkout and provide your delivery address, contact information, and payment details;
• complete the age verification process required;
• review your full order summary including the products ordered, their quantities, the total price inclusive of VAT, and any applicable delivery charges before proceeding; and
• confirm and submit your order by clicking the "Place Order" button (or equivalent).

Before submitting your order, you will have the opportunity to review all order details and to correct any errors. Once you click "Place Order" you are making a binding offer to purchase the products on these Terms.

Order Acceptance and Formation of the Purchase Agreement

A legally binding purchase agreement between you and Haypp is formed only once Haypp has confirmed your order by sending a confirmation email (the "Confirmation Email") to the email address you provided when placing the order. Until that point, no contract is concluded and Haypp is under no obligation to fulfil your order.

Our Right to Decline or Cancel Orders Before Dispatch

Haypp's Website may only be used by individuals purchasing for their own personal use. We reserve the right to decline, cancel, or amend any order at any time before dispatch where:

• we suspect the order is not intended for the Customer's personal use;
• we suspect the Customer or the order does not meet these Terms;
• we identify any irregularity, misuse, or fraudulent activity in connection with the order;
• the product is no longer available or has been subject to a pricing error;
• payment cannot be successfully processed or authorised; or
• age verification cannot be completed satisfactorily.

If we cancel your order after payment has been made, we will refund the full amount paid to your original payment method within five (5) business days.

Customer Compliance

We have the right to block or suspend access to our services for any Customer who fails to comply with our Terms and Conditions.

2. Eligibility to Purchase and Age Verification

Our products are age-restricted products. You may only purchase products from the Website if you:

• are a natural person aged 18 years or older;
• have a valid delivery address within the Kingdom of Saudi Arabia;
• are purchasing for your own personal consumption and not for commercial resale; and
• pass the age verification process whenever requested by Haypp.

By submitting an order, you represent and warrant that all of the conditions above are met.

You acknowledge that a false representation as to your age or eligibility may constitute a criminal offence and/or a regulatory violation under applicable law.

Age verification is carried out through age verification solutions available from time to time in the Kingdom of Saudi Arabia, including but not limited to Nafath, or any other service provider selected by us at our sole discretion. Age verification is a mandatory legal and regulatory requirement and is not conditional upon your consent.

If age verification cannot be completed, we will not be able to accept or process your order.

3. Personal Use and Resale Restrictions

All products sold through the Website are for your personal use only. You must not purchase products with the intention of reselling, redistributing, or commercially supplying them to any other person or entity.

We reserve the right to limit the quantities of products that may be purchased per order, per account, or per delivery address in order to prevent bulk purchasing for commercial resale.

We reserve the right to cancel any order that we reasonably suspect has been placed for commercial resale or unauthorised distribution. Where payment has already been taken, a full refund will be issued to the original payment method.

We reserve the right to suspend or terminate any account that we reasonably believe is being used in connection with resale, unauthorised distribution, or any other commercial misuse of our products.

Haypp sells products on a business-to-consumer (B2C) basis for the personal use of the individual purchaser only. Haypp does not manufacture any of the products it sells and does not authorise the resale or onward distribution of its products by customers to third parties.

The rights and remedies set out in these Terms apply only to products purchased directly from Haypp by the original consumer for their own personal use, and do not extend to any subsequent purchaser or end-user who acquires the product through a reseller or unauthorised source.

4. Account Registration and Security

To place an order on the Website, you must first create a registered account. As part of the registration process, you will be required to provide certain personal information and complete age and identity verification through Nafath (or any other age verification solution we may use from time to time at our sole discretion). Once verification is successfully completed and your eligibility confirmed, you will be able to purchase products through the Website. Your account also allows you to view your order history and manage your marketing preferences, including unsubscribing from email communications.

You are responsible for maintaining the confidentiality of your login credentials and for all activity conducted under your account. You must notify us immediately at care@haypp.sa if you become aware of any unauthorised use of your account.

You agree to provide accurate, current, and complete information at registration and to keep it updated at all times. Account information must reflect your true identity.

We reserve the right to suspend or terminate your account where you breach these Terms, we reasonably suspect fraud or misrepresentation, or you fail to satisfy age or identity verification requirements.

5. Product Availability and Descriptions

All products are subject to availability. We do not guarantee that any product will be available at any given time. Product listings may be added, amended, or removed at any time without prior notice.

We take reasonable care to ensure that all product descriptions, images, specifications, and related information displayed on the Website are accurate and up to date. If a product is materially different from its description on the Website, you may return it under clause 11 (Returns, Cancellations, and Refunds).

Product images on the Website are for illustrative purposes only. The actual product received may vary in appearance due to packaging updates, manufacturing variations, or screen display differences.

6. Pricing, VAT, and Charges

All prices displayed on the Website are in Saudi Arabian Riyals (SAR) and are inclusive of Value Added Tax (VAT). The total price payable including VAT and any applicable delivery charges will be displayed to you at checkout before you submit your order.

Prices may change from time to time. The price applicable to your order is the price displayed on the Website at the time you submit your order.

Delivery charges, if applicable, are calculated at checkout based on your delivery address and selected delivery option and are stated separately from the product price.

All promotional prices, discounts, and offers are subject to their individual terms and conditions, including any validity period, and may be withdrawn or amended at any time.

7. Liability and Responsibility

Haypp shall not be liable for any misuse of the products or for any harm resulting from improper use. Haypp disclaims all liability in relation to products purchased from unauthorised resellers. Customers are advised to purchase products only through authorised platforms.

8. Payment

Payment is due in full at the time of placing your order. We accept the payment methods made available on the Website from time to time, which may include, without limitation, Mada, Visa, Mastercard, Apple Pay, and STC Pay.

We do not accept cash on delivery unless this is expressly stated on the Website at the relevant time.

By submitting an order, you authorise us to charge the full order amount (including VAT and any delivery charges) to your chosen payment method. Payment is processed securely through our third-party payment service provider.

All payments are processed through certified third-party payment service providers that apply industry-standard security measures. Your full payment card details are handled directly by the relevant provider and are not stored on our systems. Please refer to our Privacy Policy for further information on how payment data is handled.

If your payment is declined or cannot be processed, your order will not be accepted and no purchase agreement will be formed.

All refunds issued under these Terms will be credited to the same payment method used for the original order. Please note that, depending on your card issuer or payment provider, refunds to credit or debit cards may take up to two to three weeks to appear on your account after they have been processed by Haypp. Where the original payment method no longer supports refunds, we reserve the right to issue refunds in the form of store vouchers or discounts.

9. Delivery

At Haypp, we are dedicated to ensuring your order reaches you swiftly and securely. We offer a range of convenient delivery options to suit your needs. The delivery options available to you, together with the applicable delivery costs and estimated timelines, will be displayed at checkout based on your delivery address.

We will notify you promptly if we become aware of any anticipated delay to your order. Delivery timelines are estimates only and are not guaranteed. If we fail to deliver your order within fifteen (15) days from the date of the purchase agreement, or such extended date as we have agreed with you in writing, you are entitled to cancel your order and receive a full refund of all amounts paid, unless the delay is caused by force majeure.

You are responsible for providing accurate and complete delivery address details when placing your order. We will not be responsible for any delay or failure to deliver resulting from inaccurate or incomplete information provided by you.

With respect to product delivery, the Company shall ensure that the recipient meets the applicable age requirements and may request valid identification at the time of delivery for age verification purposes.

Failed Delivery and Unreceived Orders

Our delivery partner will attempt to deliver your order up to three (3) times. You will be notified of each attempt.

If delivery is unsuccessful after three (3) attempts for any of the following reasons:

• no one is available at the delivery address to receive the order;
• the delivery address provided is inaccurate or incomplete;
• the recipient fails or refuses to provide identity verification at the door; or
• access to the delivery address cannot be obtained,

the package will be held at the nearest branch of our delivery partner for a period of ninety (90) days, during which you may collect it upon presentation of valid identification. You will be notified of the branch location and collection deadline.

If the package is not collected within the ninety (90) day period, the order shall be deemed abandoned and will no longer be available for collection. No refund, credit, or compensation shall be issued in such case. Delivery charges paid are non-refundable where the failure is attributable to your act or omission.

10. Privacy and Data Protection

Personal data is processed in accordance with the Haypp Privacy Policy, available at: Privacy Policy.

By placing an order on the Website, you acknowledge that you have read and accepted the Haypp Privacy Policy and confirm that the personal data you have provided is accurate and complete.

11. Returns, Cancellations, and Refunds

You may cancel your order at any time on the site before we have dispatched the products. If payment has already been taken, we will issue a full refund to your original payment method within two (2) to three (3) weeks. The exact time for the refund to appear in your account may vary depending on your bank or payment provider.

You have the right to rescind the purchase agreement within seven (7) days of the date on which you receive the products, however given the nature of our products, the right of rescission does not apply in the following cases:

• the products have been opened, used, or consumed, or the seal or packaging has been broken or tampered with, as the products cannot be resold for health and hygiene reasons;
• the products are, by their nature, liable to deteriorate within the rescission period;
• the defect is attributed to your mishandling of the products; or
• any other circumstances specified by the Implementing Regulations of the E-Commerce Law according to the nature of the product.

You may notify us of your intention to rescind within the seven (7) day period by contacting us at care@haypp.sa. We reserve the right to determine, at our sole discretion, whether the products fall within any of the cases listed above, in which case the right of rescission will not apply.

Where you exercise your valid right of rescission, you are responsible for the cost of returning the products to us unless we agree otherwise or the return arises from our error or a product defect. Products must be returned in their original, unopened condition. We will issue a full refund of the product price within two to three (2 to 3) weeks of receiving and inspecting the returned products.

Delivery charges are non-refundable unless the return arises from our error or a product defect.

12. Subscription Orders and Recurring Purchases

We may offer subscription orders under which you authorise us to process recurring purchases of selected products at defined intervals on the pricing and terms applicable at the time of each renewal.

By activating a subscription order, you:

• authorise Haypp to charge the applicable amount to your payment method on each renewal date automatically;
• confirm that you continue to meet the eligibility requirements on each renewal date; and
• agree that each individual subscription order constitutes a separate purchase agreement on these Terms at the prices applicable at the time of processing.

We will notify you by email before each automatic renewal, confirming the amount to be charged and giving you the opportunity to amend or cancel before the renewal is processed.

You may cancel a subscription order at any time by logging into your account and cancelling before the next renewal date. Cancellation will take effect from the next renewal date.

We reserve the right to modify subscription pricing on not less than thirty (30) days' prior written notice. If you do not agree to a price change, you may cancel your subscription before the new price takes effect at no additional cost.

We reserve the right to suspend or terminate a subscription order if age verification or payment fails, or if you are in breach of these Terms.

13. Force Majeure

We will not be liable for any delay or failure to perform our obligations under these Terms to the extent that such delay or failure is caused by circumstances beyond our reasonable control, including (without limitation) acts of God, natural disasters, extreme weather, government actions, sanctions, regulatory orders, industrial action, supply chain disruptions, pandemic or public health emergency, or failure of third-party logistics or payment systems.

If a force majeure event prevents delivery within the 15-day period, you may cancel the order and receive a full refund, with no further liability arising between the parties in respect of that order.

We will notify you as soon as reasonably practicable of any force majeure event affecting your order and the anticipated impact on delivery.

14. Complaints and Customer Support

If you have a complaint about any product, order, or any aspect of our service, please contact our Customer Support team in the first instance. We will notify you of the outcome of your complaint — whether accepted, resolved, or rejected, with reasons — within thirty (30) days of the date of submission.

15. Compliance with Saudi Cybersecurity Regulations

Haypp is committed to complying with applicable cybersecurity and data protection regulations in the Kingdom of Saudi Arabia, including those issued by the National Cybersecurity Authority (NCA) and the Saudi Data & AI Authority (SDAIA). Haypp implements appropriate technical and organisational measures to safeguard personal and organisational data against unauthorised access, cyber threats, and security breaches.

16. Intellectual Property Rights

For the purposes of these Terms, "Intellectual Property Rights" means all intellectual property rights, including copyrights, patents, database rights, trademarks, designs, know-how, and confidential information, whether registered or unregistered.

All Intellectual Property Rights in the Platforms and the content made available on them (the "Content") are owned by or licensed to Haypp. All rights not expressly granted under these Terms are reserved.

Nothing on the Platforms shall be construed as granting, by implication or otherwise, any license or right to use any trademarks, logos, or other proprietary materials without Haypp's prior written consent.

17. Use of Content on the Platforms

You may access, copy, download, and print Content from the Platforms solely for your personal and non-commercial use, provided that you do not modify the Content or remove any copyright, trademark, or other proprietary notices. Any other use of the Content without Haypp's prior written consent is strictly prohibited.

18. Amendments to These Terms

We may update or amend these Terms at any time. Any changes will be posted on the Website with an updated effective date. The Terms applicable to any given purchase are those in force at the time you submit your order; we will not retroactively apply amended Terms to orders already placed and accepted.

19. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws and regulations of the Kingdom of Saudi Arabia.

Consumers may submit complaints through the competent official channels in the Kingdom of Saudi Arabia, including the Ministry of Commerce platforms, before resorting to the competent courts of Saudi Arabia, which shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms and Conditions.
